1. Introduction

Welcome to ZoneBroz Studios ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, services, and digital products. By accessing or using our services, you agree to be bound by these Terms.

ZoneBroz Studios is a design and development agency focused on creating high-impact websites and applications. We provide web design, web development, UI/UX design, brand strategy, and related digital services.

2. Services

ZoneBroz Studios offers the following services:

• Web Development: Custom website and web application development
• UI/UX Design: User interface and user experience design services
• Brand Strategy: Branding and strategic design consultation
• Full Package Services: Comprehensive design and development solutions

All services are provided subject to separate service agreements and project-specific terms that will be agreed upon before commencement of work.

3. Payment Terms

3.1 Payment Processing

We accept payments through various methods, including but not limited to payment processors such as Ozow. All payments are processed securely in accordance with applicable payment processing regulations.

3.2 Pricing

Project pricing is determined on a case-by-case basis and will be clearly outlined in project proposals and service agreements. Prices are subject to change, but any changes will not affect projects already under contract.

3.3 Payment Schedule

Payment terms, including deposit requirements and milestone payments, will be specified in individual service agreements. Failure to make payments as agreed may result in suspension or termination of services.

3.4 Refunds

Refund policies are determined on a project-by-project basis and will be detailed in service agreements. Generally, work completed and delivered is non-refundable unless otherwise specified.

4. Intellectual Property

4.1 Client Ownership

Upon full payment, clients own the final deliverables created specifically for their project. This includes custom code, designs, and other project-specific materials.

4.2 Our Rights

ZoneBroz Studios retains the right to use completed projects in our portfolio and for marketing purposes, unless otherwise agreed in writing. We also retain rights to any pre-existing tools, frameworks, or methodologies used in project delivery.

4.3 Third-Party Materials

Any third-party materials, including fonts, images, or software, used in projects are subject to their respective licenses. Clients are responsible for ensuring compliance with third-party license terms.

5. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback and approvals in a timely manner
• Ensure they have the legal right to use any content, images, or materials provided to us
• Comply with all applicable laws and regulations
• Make payments according to agreed schedules

6. Our Responsibilities

ZoneBroz Studios agrees to:

• Deliver services with professional care and skill
• Meet agreed-upon deadlines, subject to client cooperation
• Maintain confidentiality of client information
• Comply with all applicable laws and regulations
• Provide reasonable support and communication throughout projects

7. Limitation of Liability

To the maximum extent permitted by law, ZoneBroz Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project in question.

8. Warranties

We warrant that our services will be performed in a professional and workmanlike manner. However, we do not guarantee specific results or outcomes. All deliverables are provided "as is" without warranties of any kind, either express or implied, except as required by law.

9. Termination

Either party may terminate a service agreement with written notice. Upon termination:

• Clients are responsible for payment of all work completed up to the termination date
• We will deliver all completed work to the client
• Any unused deposits or prepayments may be refunded at our discretion, minus work completed

10. Confidentiality

We respect the confidentiality of client information and project details. We will not disclose confidential information to third parties without consent, except as required by law or as necessary to provide our services.

11. Data Protection

We handle personal data in accordance with applicable data protection laws. For detailed information about how we collect, use, and protect your data, please refer to our Privacy Policy.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of South Africa.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with any service agreements or project-specific terms, constitute the entire agreement between you and ZoneBroz Studios regarding the use of our services.
